1. Agreement to Terms

By installing, enabling, accessing, or using Flow Metrics Charts for Jira Cloud (the "App"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

If you do not agree to these Terms, you must immediately uninstall and cease all use of the App.

These Terms form a legally binding agreement between you and the Flow Metrics Charts development team ("we," "us," or "our").


2. Description of the Service

Flow Metrics Charts for Jira Cloud is an Atlassian Forge application that provides flow metrics visualization and analysis capabilities within Jira Cloud. The App computes and displays:

The App runs exclusively on the Atlassian Forge platform and operates within the boundaries established by Atlassian's platform policies.


3. Eligibility and Access

3.1 Platform Requirements

To use the App you must:

  • Have a valid, active Atlassian Jira Cloud subscription

  • Have the Atlassian Forge runtime available in your Jira Cloud instance

  • Hold sufficient Jira permissions to install Marketplace and Forge applications (typically Jira Administrator or Site Administrator role)

3.2 Compliance with Atlassian Policies

Your use of the App is also governed by:

In the event of any conflict between these Terms and Atlassian's policies, Atlassian's policies control with respect to the platform.

3.3 Age Requirement

You must be at least 18 years of age, or the age of legal majority in your jurisdiction (whichever is greater), to use the App.


4. License Grant

4.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Install and use the App within your Jira Cloud instance(s)

  • Access the App's features and functionality for your internal business purposes

  • Export and use data generated by the App for your own analysis and reporting

4.2 Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the App

  • Reverse engineer, decompile, or disassemble the App except to the extent permitted by applicable law

  • Use the App to provide services to third parties without our prior written consent

  • Remove or alter any proprietary notices, labels, or marks on the App

  • Use the App for any unlawful purpose or in violation of any applicable laws or regulations

  • Attempt to gain unauthorized access to any systems, networks, or data

  • Use automated scripts to access the App in a manner that exceeds normal usage patterns

  • Use the App in a manner that violates Atlassian's platform policies


5. Acceptable Use Policy

5.1 Permitted Uses

The App is intended for legitimate business analytics and project management purposes, including:

  • Monitoring and improving team velocity and delivery performance

  • Identifying bottlenecks and inefficiencies in development workflows

  • Generating reports and insights for stakeholders

  • Supporting Agile, Kanban, and Lean process improvements

5.2 Prohibited Uses

You agree not to use the App to:

  • Violate any applicable laws, regulations, or third-party rights

  • Harass, discriminate against, or harm any individual or group

  • Collect or store personal information beyond what is necessary for the App's stated purpose

  • Circumvent any technical limitations, rate limits, or access controls of the Jira platform or Atlassian services

  • Interfere with or disrupt the integrity or performance of the App or related services

  • Engage in any activity that imposes an unreasonable or disproportionate load on Atlassian's infrastructure

5.3 User Responsibility

You are solely responsible for ensuring that your use of the App, and the use of the App by anyone accessing it through your Jira instance, complies with these Terms and all applicable laws.


6. Data Access and Privacy

6.1 Data the App Accesses

The App requests only the minimum permissions required to deliver its functionality. Current permissions include:

6.2 Data Processing Principles

We are committed to responsible data handling:

  • Minimal Collection: The App requests only the data necessary to compute the metrics you view.

  • No External Transmission: All data processing occurs within the Atlassian Forge sandbox. No issue data, project data, or user data is transmitted to external servers operated by us or any third party.

  • Temporary Caching Only: Computed metric results may be cached in Atlassian Forge's built-in storage (storage:app) for performance optimization. This cache is scoped exclusively to your Jira instance and is not shared with any other instance or external system.

  • No Personal Data Profiling: The App does not build profiles of individual users, track personal productivity, or share any user-identifiable data.

  • Forge Platform Security: All execution occurs inside Atlassian's secure, isolated Forge runtime environment.

6.3 Data Residency

Data residency is determined by Atlassian's Forge platform policies. Cached metric data resides within Atlassian's infrastructure in accordance with your Jira Cloud instance's data residency settings.

6.4 No Sale of Data

We do not sell, rent, or trade any data accessed through the App to any third party, under any circumstances.

6.5 Your Responsibilities

You are responsible for:

  • Ensuring you have the right to grant the App access to the Jira data within your instance, including compliance with any applicable privacy laws (e.g., GDPR, CCPA)

  • Informing your users that a flow metrics analytics app is installed in your Jira instance and has access to issue and project data

  • Maintaining appropriate access controls within your Jira instance

6.6 Data Deletion

Cached metric data can be cleared by uninstalling the App from your Jira instance. Uninstalling the App triggers removal of all storage:app data associated with your instance in accordance with Atlassian Forge lifecycle policies.


7. Intellectual Property Rights

7.1 Ownership of the App

The App, including all source code, algorithms, logic, documentation, UI designs, trademarks, and related materials, is the exclusive intellectual property of the Flow Metrics Charts development team. These Terms do not transfer any ownership rights to you.

7.2 Ownership of Your Data

You retain full ownership of all Jira data within your instance. We make no claim of ownership over your issues, projects, users, or any other data within your Jira instance.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the App ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize such Feedback without any obligation to you. You represent that your Feedback does not infringe any third-party rights.


8. Third-Party Services and Dependencies

8.1 Atlassian Platform

The App runs on and is fundamentally dependent on the Atlassian Forge platform and Jira Cloud. We are not responsible for:

  • Atlassian platform outages, rate limiting, or API changes that affect App functionality

  • Changes to Atlassian's pricing, terms, or availability

  • Atlassian's handling of data within their platform

8.2 No Endorsement

Our use of Atlassian's platform does not imply any endorsement by Atlassian of the App or these Terms.


9. Disclaimers and Warranties

9.1 Provided "As-Is"

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT

  • WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS

  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY METRICS, CALCULATIONS, OR DATA PRESENTED BY THE APP

9.2 No Guarantee of Accuracy

Metrics and calculations provided by the App are based on data available in your Jira instance at the time of computation. We do not warrant that:

  • Metric calculations are accurate, complete, or suitable for any particular business decision

  • Results will match output from other analytics tools or manual calculations

  • The App will correctly handle all possible Jira workflow configurations or data structures

You are solely responsible for validating the accuracy of data and for any decisions made based on information provided by the App.

9.3 Beta Features

Certain features may be released in preview or beta state. Such features are provided without any warranty and may be changed, deprecated, or removed at any time without notice.


10. Limitation of Liability

10.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES

  • DAMAGES ARISING FROM RELIANCE ON METRICS OR ANALYTICS PROVIDED BY THE APP

  • COST OF PROCURING SUBSTITUTE GOODS OR SERVICES

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE).

10.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF:

  • (A) THE TOTAL AMOUNT YOU PAID (IF ANY) FOR THE APP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR

  • (B) ONE HUNDRED US DOLLARS (USD $100.00).

10.3 Essential Basis

The limitations of liability in this section reflect a reasonable allocation of risk between the parties and are an essential element of the basis of the bargain between us. We would not be able to provide the App without these limitations.

10.4 Jurisdictional Variations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.


11. Indemnification

You agree to indemnify, defend, and hold harmless the Flow Metrics Charts development team and its respective officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms

  • Your use or misuse of the App

  • Your violation of any applicable law or regulation

  • Your infringement of any third-party rights

  • Any content or data you access, collect, or process through the App


12. Service Availability and Changes

12.1 No Uptime Guarantee

We do not guarantee continuous, uninterrupted availability of the App. The App's availability depends on the Atlassian Forge platform, Jira Cloud, and other infrastructure factors outside our direct control.

12.2 Modifications to the App

We reserve the right, at our sole discretion, to:

  • Modify, update, or enhance the App and its features at any time

  • Remove or deprecate features with or without advance notice

  • Introduce new functionality, which may be subject to additional terms

We will endeavor to communicate significant changes through the App's release notes or Atlassian Marketplace listing.

12.3 Planned and Unplanned Maintenance

The App may be temporarily unavailable during maintenance windows or due to unexpected technical issues. We are not liable for any interruptions or loss of access during such periods.


13. Termination

13.1 Termination by You

You may stop using the App and uninstall it from your Jira instance at any time. Uninstallation constitutes termination of your license under these Terms.

13.2 Termination by Us

We reserve the right to suspend or terminate your access to the App, with or without notice, if:

  • You materially breach these Terms and fail to cure the breach within 30 days of written notice (where cure is possible)

  • You use the App in a manner that poses a security risk, legal risk, or reputational risk to us or Atlassian

  • We are required to do so by law or court order

  • We decide to discontinue the App

13.3 Effect of Termination

Upon termination of these Terms for any reason:

  • Your license to use the App immediately ceases

  • All cached data associated with your instance will be deleted in accordance with Atlassian Forge lifecycle policies

  • Sections that by their nature should survive termination (including Sections 7, 9, 10, 11, and 15) will remain in full force and effect


14. Updates to These Terms

We may update these Terms from time to time to reflect changes in the App, applicable law, or our business practices. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this document

  • Publish the updated Terms in the Atlassian Marketplace listing or the App's documentation repository

  • Provide notice through reasonable means (such as a notice within the App or via email, where contact information is available)

Your continued use of the App after the effective date of any updated Terms constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the App and uninstall it.


15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the App developer is domiciled, without regard to its conflict-of-law provisions.

15.2 Informal Resolution

Before initiating any formal dispute, both parties agree to attempt to resolve any claim or dispute informally by contacting the other party and providing a written description of the dispute. The parties will attempt in good faith to negotiate a resolution within 30 days.

15.3 Dispute Resolution

If informal resolution fails, disputes shall be resolved through binding arbitration or the competent courts of the applicable jurisdiction, as determined by applicable law. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.

15.4 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST US RELATING TO YOUR USE OF THE APP.


16. Miscellaneous

16.1 Entire Agreement

These Terms, together with Atlassian's platform terms (which are incorporated by reference), constitute the entire agreement between you and us regarding the App and supersede all prior or contemporaneous agreements, representations, or understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remainder of these Terms remains in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver is only effective if made in writing and signed by an authorized representative.

16.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may freely assign our rights under these Terms, including in connection with a merger, acquisition, or sale of assets.

16.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and us.

16.6 Force Majeure

We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, power failures, internet outages, cyberattacks, or Atlassian platform outages.

16.7 Language

These Terms were originally written in English. In case of any conflict between a translated version and the English original, the English version controls.
